Vaultolio is the personal client practice of Dom Dominguez, MBA, MS, a Florida-licensed business broker, backed by Hedgestone Business Advisors. Every engagement runs through one named, licensed advisor — not a marketplace listings desk and not a high-turnover associate pipeline. Sellers and buyers know who is on the other end of every call from the first conversation to the closing table.
Engagements default to confidential. Businesses are listed through blind teasers, buyers are gated by mutual NDA before seeing a company name, and information is released to qualified buyers in tranches keyed to diligence stage. Who we represent
Sellers
Owners of privately-held businesses in the lower middle market typically with one to forty employees, recurring revenue or repeat-customer business models, and adjusted earnings between roughly $250K and $5M. Common segments: technology-enabled services, professional services, light manufacturing, distribution, and specialty retail.
Buyers
Strategic operators (often industry executives stepping into ownership), independent sponsors, family offices, and search-fund principals with verified proof of funds and a clear acquisition thesis. Buyer qualification happens before any seller-identifying information is shared.
Where we work
The practice covers engagements across America under two representation tiers, dictated by each state's business-broker licensing posture. Sell-side mandates flow through the tier that applies to the seller's principal place of business; buyer-side representation is available in every state directly.

Partner-assisted representation — 16 states
States requiring local business-broker licensure for sell-side representation. Engagements in these states are accepted on a case-by-case basis and co-brokered with a locally-licensed broker engaged for that transaction; the seller works with a single named lead advisor throughout.

Real-estate-component deals (sales that include the underlying real property) require a real-estate license in the property's state and are handled on the same partner-assisted basis outside Florida. Stock transactions over the SEC threshold are referred to broker-dealer counsel; the M&A Broker Safe Harbor (Securities Exchange Act § 15(b)(13)) covers many sub-$25M private-company stock sales directly.
